1. Acceptance of Terms

These Terms of Service constitute a legal agreement between you and GuidePath LLC, a Delaware limited liability company with a registered office at 8 The Green, Suite B, Dover, DE 19901, United States ("GuidePath," "we," "us," or "our"). By creating an account or using GuidePath, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the app.

2. Eligibility

GuidePath is intended for users 18 years of age and older. By using the app, you represent that you are at least 18.

3. Beta Status

GuidePath is currently in beta. The app may contain bugs, incomplete features, or unexpected behavior. It is offered for testing and feedback purposes. We may modify, suspend, or discontinue any feature at any time without notice during the beta period.

4. AI Coaching — Not Medical Advice

GuidePath provides AI-powered coaching, reflections, and insights for personal growth and self-awareness.

THIS IS NOT MEDICAL, PSYCHOLOGICAL, THERAPEUTIC, OR PROFESSIONAL ADVICE.

• Do not rely on GuidePath as a substitute for professional mental health care
• The AI coach is not a licensed therapist, counselor, or medical professional
• AI-generated insights are automated observations, not clinical assessments
• GuidePath does not diagnose, treat, or prevent any medical or psychological condition

5. Assumption of Risk

You acknowledge that you are solely responsible for your physical and mental health. GuidePath is not an emergency service and should not be used in urgent or crisis situations. You assume all risks associated with using the app, including any reliance on AI-generated coaching, insights, or content. If you have a pre-existing mental health condition, consult a qualified professional before using GuidePath's coaching features.

6. Your Content & Data

• You retain ownership of all content you create (reflections, journal entries, goals, coaching conversations, etc.)
• You grant GuidePath LLC a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your content solely for the purpose of providing and improving the service, including AI analysis and insight generation as described in our Privacy Policy
• Your content may be sent to third-party AI services (Anthropic) for processing
• You can delete your content and account at any time from Settings
• Upon account deletion, your content is removed from our systems as described in our Privacy Policy

7. Intellectual Property

All content, features, and functionality of GuidePath — including but not limited to text, graphics, logos, icons, coaching frameworks, pathway content, daily exercises, and software — are owned by GuidePath LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use GuidePath for your personal, non-commercial use. You may not:

• Copy, reproduce, distribute, or publicly display any GuidePath content
• Use GuidePath's name, logo, or trademarks without prior written consent
• Extract, scrape, or harvest data from the app for any purpose, including training machine learning or AI models
• Create derivative works based on GuidePath's content or frameworks

8. Acceptable Use

You agree not to:

• Use GuidePath for any unlawful purpose
• Submit content that is harmful, threatening, abusive, or harassing
• Attempt to access other users' data or accounts
• Reverse-engineer, decompile, or extract source code from the app
• Introduce viruses, malware, or other malicious code
• Interfere with or disrupt the app's servers, networks, or infrastructure
• Use automated tools, bots, or scrapers to access the app
• Record, screenshot, or redistribute coaching conversations or AI-generated content for commercial purposes
• Use the AI coaching feature to generate harmful, abusive, or inappropriate content
• Misrepresent AI-generated insights as professional medical or psychological advice
• Assist or enable any other person in any of the above activities

Violation of these terms may result in immediate account termination.

9. Electronic Communications

By creating an account, you consent to receive electronic communications from GuidePath, including push notifications, in-app messages, and emails related to the service, your account, and product updates. You may manage your notification preferences in Settings or unsubscribe from marketing emails at any time. Service-related communications (e.g., security alerts, account notices) may not be opted out of while your account is active.

10. Third-Party Links

GuidePath may contain links to third-party websites or resources. We are not responsible for the content, accuracy, or practices of any third-party sites. Accessing third-party links is at your own risk, and you should review their terms and privacy policies.

11. Payment & Subscriptions

GuidePath does not directly process, collect, or store payment information. All purchases and subscriptions are handled through the Apple App Store or Google Play Store and are subject to their respective terms. For cancellation or refund requests, contact Apple or Google directly through their platforms.

12. No Warranty

GuidePath is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not warrant that the app will be uninterrupted, error-free, or free of harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, GuidePath LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app, including but not limited to emotional distress, reliance on AI-generated content, data loss, or service interruptions.

Our total aggregate liability for all claims arising from or related to these Terms or your use of GuidePath shall not exceed the greater of (a) the amounts you have paid to GuidePath LLC in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless GuidePath LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the app; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your violation of any third party's rights. GuidePath LLC will provide prompt notice of any such claim and cooperate in your defense.

15. Dispute Resolution & Arbitration

Informal Resolution First

Before filing any formal proceeding, you agree to attempt to resolve the dispute informally by contacting support@tryguidepath.com. We will try to resolve the dispute within 30 days. If the dispute is not resolved informally, either party may proceed as described below.

Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or your use of GuidePath that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. For claims under $10,000, arbitration may be conducted by phone, video, or written submissions. The arbitrator's decision shall be final and binding.

Class Action Waiver

You and GuidePath LLC agree that disputes will be resolved only on an individual basis and not in any class, consolidated, or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in court.

Jury Trial Waiver

You and GuidePath LLC waive any right to a jury trial.

Small Claims Exception

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Opt-Out

You may opt out of this arbitration provision by sending written notice to support@tryguidepath.com within 30 days of creating your account. The notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and GuidePath LLC may resolve disputes in court as described in the Governing Law section.

16. Availability

The app, its features, and your access may be modified, suspended, or terminated at any time without notice. We shall not be liable for any modification, suspension, or discontinuation of the app.

17. Feedback

Any feedback, suggestions, or ideas you provide about GuidePath may be used by us freely and without obligation, compensation, or attribution. By submitting feedback, you grant GuidePath LLC a non-exclusive, perpetual, irrevocable, royalty-free license to use and incorporate it in any manner.

18. Account Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to GuidePath LLC, its users, or third parties. Upon termination, your right to use the app ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law) shall survive.

19. Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

20. Assignment

GuidePath LLC may assign or transfer these Terms and its rights and obligations hereunder, in whole or in part, without your consent, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms or any rights hereunder without our prior written consent.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the app or email. Your continued use of GuidePath after changes are posted constitutes acceptance of the updated Terms.

22. General Provisions

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GuidePath LLC regarding the use of the app, superseding any prior agreements.
• Force Majeure: GuidePath LLC shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, labor disputes, government actions, internet or infrastructure failures, or third-party service outages.
• Headings: Section headings are for convenience only and have no legal effect.
